Terms of Service

NextBranch Solutions

Effective Date: May 1, 2026


1. Agreement to Terms


By accessing or using services provided by NextBranch Solutions (“Company,” “we,” “our,” or “us”), including the NextBranch Command Center, consulting services, managed services, and fractional CTO services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service.


If you do not agree to these terms, you may not use our services.


2. Services Overview


NextBranch Solutions provides business consulting, digital infrastructure management, systems administration, and related services through the following plans:

  • Nexus (Self-Managed): Access to the NextBranch Command Center and resources
  • NextLevel (Managed): Ongoing support, execution, and system management
  • Nova (Fractional CTO): Strategy, advisory, and execution at an executive level


Additional services may be provided through add-ons, bundles, or custom agreements.


3. Account & Access


Clients may be required to create and maintain accounts within the NextBranch Command Center and associated platforms.


You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of login credentials
  • Accept responsibility for all activity under your account


NextBranch Solutions is not liable for unauthorized access resulting from client negligence.


4. Fees & Payment Terms


  • All services are billed on a subscription or one-time basis, as selected at checkout
  • Setup fees are non-refundable unless otherwise stated
  • Subscription fees are billed in advance on a monthly or annual basis
  • Payments must be made via approved payment methods


Failure to pay may result in suspension or termination of services.


5. Refunds & Cancellations


Subscription services may be canceled at any time; however, no prorated refunds will be issued for unused time

  • Setup fees and completed service work are non-refundable
  • Add-ons and custom services may have separate cancellation terms

6. Scope of Services


Nexus (Self-Managed)

  • Provides access to tools, resources, and system visibility
  • Does not include hands-on support or execution unless separately purchased


NextLevel (Managed)

  • Includes ongoing support, updates, and system assistance
  • Scope is limited to reasonable use and defined service capabilities


Nova (Fractional CTO)

  • Includes strategic guidance, system design, and execution support
  • Does not constitute full-time employment or exclusive availability

7. Client Responsibilities


Clients agree to:

  • Provide timely access to systems, accounts, and information
  • Respond to requests necessary for service delivery
  • Maintain ownership of all third-party accounts and subscriptions


Delays caused by the client may impact service timelines and outcomes.


8. Third-Party Services


NextBranch Solutions may integrate or recommend third-party tools (e.g., Zoho, Shopify, Stripe, etc.).

  • Clients are responsible for third-party subscription fees
  • We are not liable for outages, failures, or policy changes of third-party providers

9. Intellectual Property


  • All materials, frameworks, and systems developed by NextBranch Solutions remain our intellectual property unless otherwise agreed
  • Clients retain ownership of their business data, content, and assets


Clients are granted a limited, non-transferable license to use deliverables for their business operations.


10. Confidentiality


Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the engagement.


This obligation survives termination of services.


11. Limitation of Liability


To the fullest extent permitted by law:

  • NextBranch Solutions shall not be liable for indirect, incidental, or consequential damages

12. Service Availability


We strive to provide reliable services but do not guarantee uninterrupted access.

Maintenance, updates, or external factors may impact availability.


13. Termination


We reserve the right to suspend or terminate services if:

  • Terms are violated
  • Payments are not made
  • Services are misused


Clients may terminate services at any time subject to billing terms.


14. Modifications to Terms


We may update these Terms of Service at any time. Continued use of services constitutes acceptance of the updated terms.


15. Governing Law


These Terms shall be governed by the laws of the State of Georgia, United States.

17. Fair Use Policy


To maintain service quality:

  • Support and execution are subject to reasonable usage limits
  • Excessive or out-of-scope requests may require additional fees or upgrades
